YATIRIM ORTAKLIGI ANONIM SIRKETI MET UNDER THE CHAIRMANSHIP OF MR. HUSNU AKHAN AT
THE REGISTERED OFFICE AND, UNANIMOUSLY ADOPTED THE FOLLOWING RESOLUTIONS:
THE HOTEL BUILDING WITH 156 ROOMS THAT IS
CURRENTLY CONSTRUCTED IN AN AREA OF 21.770 M2 UNDER THE PROJECT FOR CONSTRUCTION OF THE GEBZE CENTER
ADDITIONAL BUILDINGS AND THE HOTEL THAT WE ARE CURRENTLY CONSTRUCTING UNDER THE
REAL ESTATE OWNED BY OUR COMPANY IN KOCAELI PROVINCE, GEBZE COUNTY, SULTANORHAN
QUARTER RECORDED IN THE RESPECTIVE TITLE DEED REGISTRY UNDER SHEET NO. G22B24C2A,
SECTION NO. 5678 AND PARCEL NO. 22 SHALL BE LEASED TO DOGUS OTEL ISLETMECILIGI
VE YONETIM HIZMETLERI A.S. FOR A PERIOD OF 20 YEARS UNDER THE FOLLOWING TERMS
AND CONDITIONS AND, THE RENTAL FEE SHALL BE DETERMINING AS FOLLOWS CONSIDERING
THE VALUATION REPORT ISSUED BY TURKIYE SINAI KALKINMA BANKASI (TSKB)
GAYRIMENKUL DEGERLEME A.S. ON 11.10.2016:
A)THE RENTAL FEE UNDER
THE RESPECTIVE AGREEMENT SHALL BE THE FIXED AMOUNT OF EURO 750,000 + VAT FOR
THE FIRST 5 (FIVE) YEARS FROM THE DELIVERY OF THE HOTEL TO THE LESSEE AND, 50%
+ VAT OF THE ANNUAL GOP OF THE HOTEL, PROVIDED THAT THIS SHALL NOT BE LESS THAT
THE FIXED AMOUNT OF THE YEARLY RENTAL FEE OF EURO 750,000 + VAT UNDER ANY
CONDITION WHATSOEVER;
B) A LEASE AGREEMENT
SHALL BE SIGNED COVERING THE ABOVE MENTIONED TERMS AND CONDITIONS.
HUSNU AKHAN DID NOT CAST VOTE SINCE
HE IS RELATED TO THE OTHER PARTY OF THIS TRANSACTIONS PURSUANT TO ARTICLES 9
AND 10 OF THE CORPORATE GOVERNANCE COMMUNIQUÉ (II-17.1) AND, THE RESOLUTION HAS
BEEN UNANIMOUSLY ADOPTED BY OTHER MEMBERS INCLUDING THE INDEPENDENT MEMBERS.
